Master Services Agreement
Effective Date: June 1, 2025
This Master Services Agreement (“Agreement”) is entered into by and between Reef Cyber Security Inc., a Florida corporation with a principal mailing address of PO Box 10421, Bradenton, FL 34282 (“Provider”), and the customer identified in the corresponding quote or proposal (“Client”).
1. Services Provided
Provider offers the following services:

Managed IT Services
-
Cybersecurity (e.g., MDR, EDR, compliance)

Cloud Services (e.g., Microsoft 365, Google Workspace, Azure)

Backup & Disaster Recovery
-
Compliance-as-a-Service (e.g., CMMC, PCI, FTC)
-
Virtual CISO (vCSO)
-
Vulnerability Assessments
Specific services will be described in one or more quotes or statements of work (“SOWs”), which, when accepted by Client, become part of this Agreement.
2. Term and Termination
This Agreement shall remain in effect for a one-year term unless terminated earlier as provided below. Either party may terminate with 30 days’ written notice. Early termination by Client may result in fees for unused portions of services as set forth in the applicable SOW.
3. Billing and Payment Terms

Billing: Monthly, Quarterly, or Annually, as specified in the quote.

Payment: Due upon receipt.

Late Payment Fee: 2.5% per week on overdue balances.
4. Service Commitments
Provider guarantees a 30-minute response time to service requests submitted through approved channels. Uptime guarantees, if any, are specified in the applicable SOW.
5. Customer Responsibilities
Client agrees to:

Not share login credentials

Provide accurate contact information

Maintain physical security of hardware and accounts

Notify Provider promptly of any incidents or changes
6. Limitation of Liability
Provider’s total liability under this Agreement shall not exceed the total fees paid by Client in the three (3) months preceding the claim. In no event shall Provider be liable for indirect, incidental, special, or consequential damages.
7. Dispute Resolution
The parties agree to first attempt to resolve disputes through mediation. If mediation fails, binding arbitration will be conducted in Manatee County, Florida in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs.
8. Governing Law
This Agreement is governed by the laws of the State of Florida, with venue in Manatee County.
